The Board approved the recommendations of the Nominating Committee on the independence of its members and the new composition of the Committees following the 2025 General Shareholders’ Meeting..

It was informed of the process and outcome of the Board’s assessment for financial year 2024.

The Board determined the list of transactions subject to its prior authorization and set the annual budget granted to the Chairman and Chief Executive Officer for entering into sureties, endorsements and guarantees. It acknowledged the list of guarantees given by the Company for the commitments of its subsidiaries.

The Board noted that no new related-party agreements were entered into or continued during the financial year and was informed of the assessment of agreements relating to day-to-day transactions and concluded under normal market conditions.

The Board approved the agenda, the draft resolutions submitted to the vote of the 2025 General Shareholders’ Meeting as well as the Board’s reports made available to the shareholders

The Board heard the Lead Director’s annual report and was regularly informed of the conclusions of the executive sessions.

As every year, the Board devoted an agenda item to the conclusions to be drawn from the previous General Shareholders’ Meeting, and in particular considered

the questions and comments from investors.

It was informed of the work relating to the succession plans.

The Board of Directors acknowledged the Groupe’s risk mapping updated in 2025 and the action plans implemented by General Management to remedy the main risks identified.

The Board was informed of the integration of the Influential, Mars United Commerce and Captiv8 acquisitions, and more generally of the external growth strategy in the priority areas for the Groupe.

It regularly monitored the progress of the disposal of VivaTech to a company whose shares are held by Mr.Maurice Lévy. It should be noted that the latter was not present during the related debates and votes.

In 2025, the Board’s strategy seminar was devoted to artificial intelligence.

The Board of Directors regularly examined the challenges related to artificial intelligence in light of the Groupe’s strategy, business model and performance. It discussed the role of artificial intelligence as a growth driver and its integration into the Groupe’s activities, particularly in its service and production offerings.

The Board was informed of the investments made and planned in terms of technology and data. It also monitored the medium and long-term impacts of artificial intelligence on the Groupe’s business lines, organization and skills.

Lastly, the Board acknowledged the actions implemented to support the responsible use of artificial intelligence, including the training programs rolled out to employees.

Cybersecurity Cybersecurity

The Board of Directors reviewed the Groupe’s cybersecurity system.

It was informed of the main cyber attacks and the actions implemented in response.

It examined the processes for identifying and dealing with cyber risks as well as insurance coverage for cyber risks.

It took note of the Groupe’s investments in cybersecurity.

It was briefed on Publicis’ resilience plan, including the business continuity plan in the event of a major attack.

The Board was informed of cybersecurity compliance and certification issues.
