Proportion of variable compensation (compared to the fixed and variable compensation paid): 75% Variable compensation to be paid in 2026 for the 2025 financial year: After reviewing the performance achieved for each of the criteria indicated below and pursuant to the compensation policy adopted by the previous General Shareholders’ Meeting during the 2025 financial year, the Board of Directors set the variable compensation of Mr. Arthur Sadoun at euro 3,510,000 gross, of which the payment will be submitted to the General Shareholders’ Meeting of May 27, 2026 in its eighth resolution pursuant to article L. 22-10-34 II of the French Commercial Code. This amount results from the following facts and assessments shown below and in the table below.

In 2025, Mr. Arthur Sadoun acquired 52,047 shares on March 19 and 9,996 shares on May 26 under the LTIP 2022 Président du Directoire. The amount paid in 2025 corresponds to the realized vesting gain. Mr. Arthur Sadoun was also granted 43,740 shares in 2025 under the LTIP 2025 PDG performance share plan. The amount awarded in 2025 corresponds to their valuation in the consolidated financial statements.(1)

The severance payment described in Section 3.2.3.1 of this document which may be paid to Mr. Arthur Sadoun is equivalent to one year of total gross compensation (fixed and variable compensation paid) calculated on the average of the last 24 months of compensation, subject to performance conditions, i.e. an estimated amount of euro 4,621,500.
