The Strategic, Environmental and Social Committee is the result of the merger of the Strategy and Risk Committee and the ESG Committee of the previous Supervisory Board as part of the new governance model on May 29, 2024(1).

As of the date of this document, the Strategic, Environmental and Social Committee is composed of a majority of independent members and is chaired by Mrs. Marie-Josée Kravis.

As presented in the introduction to Section 3.1.4, the composition of the Strategic, Environmental and Social Committee changed in 2025.

Mrs. Suzan LeVine and Mr. Jean Charest replaced Mrs. Antonella Mei-Pochtler and Mr. Thomas H. Glocer on the Committee as of May 27, 2025.

Global Strategy

Examine the major strategic and development options available to the Groupe and the decision to implement them in transactions likely to involve the strategy of the Groupe as a whole

Corporate Social and Environmental Responsibility (CSR)

  • Examine the Groupe’s strategy in terms of environmental and climate, social and environmental responsibility in consultation with stakeholders and the options selected for the implementation of this strategy
  • Ensure compliance with the Company’s Duty of Care obligations

Social Policy

Examine the Groupe’s social policies (training, mobility, harassment, discrimination, etc.) and formulate any proposal, particularly in terms of professional equity, and changes in working conditions
