1.2 ORGANIZATION CHART

1.2.1 Brief description of the Groupe

This chart presents a brief description of the Group.

At the top is Publicis Groupe SA

Publicis Groupe SA owns several entities, including Publicis Groupe Holdings BV

Publicis Groupe Holdings BV oversees the following structures:

MMS USA Holdings, which includes Sapient Corporation, Epsilon Data Management, and other US subsidiaries

An entity for international subsidiaries (excluding France, the USA, and those held by MMS country holdings)

  • MMS UK Holdings, for UK subsidiaries
  • MMS Italy Holdings, for Italian subsidiaries
  • MMS Germany Holdings, for German subsidiaries
  • MMS Australia Holdings, for Australian subsidiaries
  • MMS Spain Holdings, for Spanish subsidiaries
  • MMS Netherlands Holdings, for Dutch subsidiaries
  • MMS Mexico Holdings, for Mexican subsidiaries

Two Irish entities: MMS Multi Market Services Ireland and MMS Multi Euro Services (Ireland)

Finally, Publicis Groupe SA also owns MMS France Holdings, which includes French subsidiaries

1.2.2 Main subsidiaries

The list of principal consolidated subsidiaries at December 31, 2024 is provided in Note 36 to the consolidated financialstatements in Chapter 6 of this Universal Registration Document.

None of the subsidiaries controlled by the Groupe account for more than 10% of the Groupe’s revenue.

None of the companies included in the list of the main consolidated companies as at December 31, 2024 have been sold as of the date of this document.

The majority of the Groupe’s subsidiaries are at least 90% held by Publicis Groupe.

In addition, the Groupe holds interests in certain entities in which the percentage of interest may be significant, but which are not controlled by the Groupe. Information concerning the main entities as well as the percentages held by the Groupe is provided in Note 36 to its consolidated financial statements in Chapter 6 of this document. However, these entities do not hold important assets and are not intended to hold any significant borrowing or financing. The borrowing and financing of the Groupe are 100% held and controlled by Publicis Groupe.

During 2024, Publicis Groupe SA did not take any significant stakes in any companies headquartered in France.
